This Terms of Service ("Agreement") is a binding legal agreement between you ("User" or "you") and HavenAxis, LLC ("HavenAxis," "we," "us," or "our"). This Agreement governs your access to and use of the HavenAxis website, mobile application, and all related services (collectively, the "Platform").
By accessing, signing up for, or using the Platform, you agree to be bound by this Agreement.
1. User Accounts You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify HavenAxis immediately of any unauthorized access or use of your account.
2. User-Submitted Content Users retain ownership of any data, photos, text, or information they upload to the Platform ("User Content"). By uploading User Content, you grant HavenAxis a non-exclusive, worldwide, royalty-free license to use, store, reproduce, modify, and display such content solely for the purpose of operating, providing, and improving the Platform and its services for you. You are solely responsible for the accuracy, completeness, and legality of your User Content.
3. HavenAxis AI Assistant The Platform includes an "HavenAxis Assistant," an AI-powered tool that provides answers sourced from user manuals and guides. This feature is for informational purposes only.
THE INFORMATION PROVIDED BY THE AI ASSISTANT MAY BE INACCURATE, INCOMPLETE, OR OUTDATED. HavenAxis does not warrant the accuracy of any AI-generated content. You must independently verify all information before taking any action, especially regarding repairs, safety, or maintenance. HavenAxis is not liable for any errors, omissions, or actions taken based on the Assistant's output.
4. Third-Party Links & Services The Platform may contain links to third-party websites or facilitate connections to third-party service providers. HavenAxis does not endorse and is not responsible for the availability, accuracy, or content of such external sites or for any work, pricing, or warranties provided by third parties. Your engagement with any third party is solely between you and them.
5. Prohibited Activities You agree not to: (a) copy, modify, or reverse engineer the Platform; (b) use the Platform for any unlawful or unauthorized purpose; (c) hack, distribute malware, or interfere with the Platform's security; or (d) infringe upon our or any third party's intellectual property rights.
6. Intellectual Property HavenAxis and its licensors retain all rights, title, and interest in and to the Platform, including all underlying software, technology, and content (excluding User Content).
7. Disclaimer of Warranties TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM IS PROVIDED "AS-IS" AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
HAVENAXIS DOES NOT WARRANT THAT THE PLATFORM WILL HAVE UNINTERRUPTED OR ERROR-FREE OPERATION. The data presented on the Platform is sourced from various providers, and while best efforts are made to ensure accuracy, it may not always be possible.
8. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL HAVENAXIS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS OR DATA) ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
HAVENAXIS'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00).
9. Modification and Termination We reserve the right to modify this Agreement at any time. We will provide notice of significant changes via email or a prominent notice on the Platform. Your continued use of the Platform after such modifications constitutes acceptance of the updated Agreement. We may also suspend or terminate your access to the Platform at any time, with or without cause.
10. Governing Law This Agreement shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law principles. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in Clark County, Nevada.
11. Consent to Communications By providing your phone number, you expressly consent to receive communications from HavenAxis, including SMS/text messages. These messages may include account updates, service notifications, and assigned actions. Message and data rates may apply. You may opt out of receiving SMS/text messages at any time by replying STOP to any message.
